INFORMATION CONTAINED IN THIS REPORT ON FORM 6-K

On August 17, 2022, Connect Biopharma Holdings Limited (the “Company”) received written notice from the Listing Qualifications Department of the Nasdaq Stock Market (“Nasdaq”) stating that the Company has regained compliance with the Nasdaq minimum bid price continued listing requirement and the matter is now closed.

The Company was previously notified by Nasdaq on June 16, 2022, that it was not in compliance with the minimum bid price requirement because the Company’s American Depositary Shares (“ADSs”) had failed to maintain a minimum bid price of $1.00 or more for 30 consecutive business days. To regain compliance, the Company’s ADSs were required to maintain a minimum closing bid price of $1.00 or more for at least 10 consecutive trading days, which was achieved on August 16, 2022.

This report on Form 6-K shall be deemed to be incorporated by reference into the registration statements on Form F-3 (Registration No. 333-264340) and Form S-8 (Registration Nos. 333-254524 and 333-266006) of the Company and to be a part thereof from the date on which this report is furnished, to the extent not superseded by documents or reports subsequently filed or furnished.
